1. Corporate Identity
Tech Sol Outsourcing is a business brand, public-facing service platform, commercial interface, and media/service-delivery front owned and operated by Koshar and Harris LLC.
Unless a binding engagement document expressly identifies another contracting entity, references to “Tech Sol Outsourcing,” “we,” “us,” or “our” mean Koshar and Harris LLC acting through the Tech Sol Outsourcing brand.
Nothing on the website should be interpreted as creating separate legal personality for Tech Sol Outsourcing merely because the brand is presented separately from Koshar and Harris LLC.
2. Acceptance of These Terms
By accessing, browsing, submitting information through, or otherwise using the website, you agree to these Terms to the extent permitted by applicable law. If you do not agree, you should discontinue use of the website.
If you use the website or communicate with us on behalf of a company or other organization, you represent that you have authority to act for that organization in relation to the relevant inquiry or transaction.
3. Website Terms Versus Service Agreements
These Terms primarily govern use of the public website, public materials, inquiry process, and preliminary commercial interactions. They do not, by themselves, create the complete terms for delivery of professional services.
Actual client engagements may be governed by a Master Services Agreement, Statement of Work, proposal, quotation, Order Form, Data Processing Agreement, NDA, invoice terms, service-specific terms, or other written instrument.
Where documents conflict, the more specific signed or accepted engagement document controls the subject matter it expressly governs.
4. No Automatic Client, Agency, Fiduciary, or Employment Relationship
Submitting an inquiry, booking a consultation, sending an email or SMS, speaking with us, requesting a proposal, submitting an application, or receiving preliminary information does not automatically create a client relationship, agency, partnership, joint venture, fiduciary relationship, employment relationship, or other legally binding service relationship.
A paid service relationship begins only when the relevant engagement is accepted according to the applicable commercial terms.
5. Nature of Website Information
Website content is provided for general business, informational, descriptive, and marketing purposes. Unless expressly incorporated into a binding agreement, website content does not constitute a binding offer, guaranteed scope, guaranteed price, guaranteed delivery date, guaranteed staffing level, or guaranteed result.
6. Services Presented Through Tech Sol Outsourcing
The website may present services including, without limitation:
- Product engineering, web development, software development, application development, and digital product delivery.
- DevOps, platform engineering, cloud, deployment, infrastructure, and technical operations.
- SI (formerly AI), machine learning, automation, data engineering, analytics, and SI-assisted solutions.
- CRM, data, workflow automation, integrations, reporting, and business intelligence.
- Managed IT, cybersecurity, technical support, systems administration, and related technology services.
- Marketing technology, digital marketing, performance marketing, paid media, SEO, conversion optimization, campaign operations, lead management, and sales support.
- BPO, customer support, virtual assistance, back-office operations, dispatch, property/short-term-rental support, administrative operations, and other outsourced functions.
- Staffing, recruitment-related support, team augmentation, and workforce solutions.
We may add, remove, restructure, combine, restrict, or discontinue services at any time, subject to existing binding agreements.
7. Availability of Services
A service appearing on the website does not guarantee that it is immediately available, available in every jurisdiction, available at a particular price, suitable for every business, or deliverable using every requested technology.
We reserve the right to decline a project, request additional information, require revised scope, impose lawful compliance conditions, or refuse work that creates unacceptable legal, security, reputational, operational, or commercial risk.
8. Proposals, Estimates, and Quotations
Unless a proposal or quotation states otherwise, pricing and timelines may be based on information available at the time of preparation and may change if scope, assumptions, dependencies, third-party pricing, technical constraints, or client requirements change.
A proposal may expire according to its stated validity period. A proposal or quotation does not become binding merely because it is requested or delivered.
9. Scope and Change Requests
For paid engagements, the agreed scope is determined by the applicable written agreement. Work outside that scope may require a change request, revised quotation, additional fees, or schedule adjustment.
Examples of out-of-scope work may include additional features, pages, integrations, migrations, redesigns, data cleanup, expanded testing, additional revision rounds, compliance remediation, new platforms, new jurisdictions, or rework caused by materially changed client requirements.
10. Client Cooperation and Dependencies
Clients are responsible for timely cooperation and for fulfilling obligations assigned to them, which may include providing accurate requirements, lawful data, system access, approvals, feedback, licenses, brand assets, content, accounts, credentials, test users, and subject-matter decisions.
Delays caused by missing client inputs, third-party approvals, platform restrictions, client-requested changes, or dependencies outside our reasonable control may extend delivery dates.
11. Information Supplied by Users and Clients
Users and clients are responsible for information they submit or authorize us to use. To the extent applicable, you represent that the information is reasonably accurate, may lawfully be supplied to us, does not knowingly infringe third-party rights, and may be processed for the intended purpose.
12. Client-Controlled Personal Information
Where a client provides customer, prospect, lead, employee, user, applicant, advertising, or other personal information, the client remains responsible for ensuring that the information was lawfully obtained and that the requested processing is authorized.
We do not undertake to independently verify the legal provenance of every client-supplied record unless a written agreement expressly requires such verification. We may refuse or suspend processing where we reasonably suspect unlawful sourcing, missing consent, prohibited targeting, fraud, or other material compliance issues.
13. Marketing, Advertising, CRM, and Lead Services
Where we provide paid advertising, performance marketing, SEO, lead-management, appointment-setting, CRM administration, conversion optimization, sales support, or similar services, the client remains responsible for the legality and accuracy of its products, services, offers, claims, lists, customer data, audience data, marketing permissions, and campaign instructions except to the extent a binding agreement assigns a specific responsibility to us.
We do not guarantee rankings, impressions, reach, traffic, clicks, leads, meetings, attendance rates, conversion rates, sales, revenue, return on advertising spend, profitability, or continuation of a particular platform account.
Advertising platforms, search engines, social networks, communications providers, and marketplaces control their own algorithms, policies, auctions, account reviews, approval decisions, and enforcement actions.
14. Communications Compliance
Client-directed communications may be subject to privacy, telemarketing, electronic-marketing, carrier, and platform requirements. Depending on the jurisdiction, these may include the U.S. Telephone Consumer Protection Act (47 U.S.C. § 227), FCC rules, the CAN-SPAM Act, UK PECR, Canada's Anti-Spam Legislation (CASL), Australia's Spam Act 2003, or comparable laws.
Unless expressly allocated otherwise in a written agreement, the client is responsible for ensuring that client-provided lists, audience data, lead sources, and campaign instructions have any required consent, notice, identification, lawful basis, suppression, or recipient authorization.
15. Software, Product, and Development Services
Software and development services may depend on browsers, operating systems, devices, APIs, libraries, frameworks, repositories, app stores, hosting providers, cloud platforms, databases, third-party integrations, and other technologies outside our exclusive control.
Unless expressly warranted in a written agreement, we do not guarantee perpetual compatibility with future browser changes, operating-system changes, API deprecations, third-party policy changes, platform discontinuation, vendor pricing changes, or unsupported technologies.
16. Open-Source and Third-Party Components
Deliverables may use open-source or third-party software where appropriate. Such components remain subject to their applicable licenses and terms. We do not transfer ownership of third-party intellectual property merely by incorporating or configuring it.
Client requests to use a specific library, platform, integration, or third-party component may create dependencies and risks that remain subject to the relevant third party's terms and technical limitations.
17. SI and Machine Learning
SI (formerly AI) and machine-learning systems may produce probabilistic, incomplete, inaccurate, biased, outdated, or unexpected outputs. Unless a written agreement expressly provides otherwise, SI-assisted outputs should be reviewed by an appropriate human before being used for material legal, financial, employment, medical, safety, or other consequential decisions.
We do not warrant that generative or predictive systems will be error-free, hallucination-free, continuously available, or suitable for every regulated use.
18. Managed IT and Cybersecurity
No cybersecurity or managed-IT provider can guarantee that systems will never experience intrusion, malware, ransomware, credential theft, social engineering, zero-day exploitation, service interruption, user error, or data loss.
Specific security obligations and service levels, if any, are determined by the applicable written agreement. General website descriptions of security services do not create an absolute security warranty.
19. BPO and Business Operations
BPO and operational services may rely on client policies, client systems, scripts, training materials, escalation rules, authority limits, third-party platforms, and information supplied by the client.
The client remains responsible for business decisions reserved to it and for ensuring that its policies and instructions are lawful, accurate, and appropriate to its industry.
20. Staffing and Team Augmentation
Website descriptions of staffing or team augmentation do not guarantee the availability of a specific person, permanent assignment, uninterrupted staffing, particular tenure, or suitability for every role. Staffing commitments are governed by the relevant engagement.
21. Third-Party Services and Client-Selected Platforms
Our website and services may rely on or link to third-party hosting, cloud, payment, advertising, communications, telecommunications, software, social, analytics, repository, CRM, project-management, or other platforms.
To the fullest extent permitted by law, we are not responsible for independent outages, policy changes, account suspensions, pricing changes, security incidents, service discontinuation, content, privacy practices, or acts and omissions of third parties outside our reasonable control.
22. Website Availability and Maintenance
We may modify, maintain, suspend, restrict, replace, or discontinue all or part of the website. We do not guarantee uninterrupted or error-free availability.
23. Acceptable Use
You may use the website only for lawful purposes. You must not:
- Attempt unauthorized access to systems, accounts, data, or administrative functions.
- Probe, scan, exploit, or test vulnerabilities without written authorization.
- Introduce malware, malicious payloads, destructive code, or unauthorized automation.
- Interfere with website availability, rate limits, networks, or security controls.
- Impersonate another person or submit materially fraudulent or deceptive information.
- Use the website to facilitate unlawful, infringing, abusive, discriminatory, or malicious activity.
- Harvest personal information unlawfully or copy protected content in violation of applicable rights.
- Circumvent technical, contractual, or access restrictions.
24. Automated Access, Scraping, and Data Extraction
Legitimate search-engine indexing may be permitted subject to technical controls. Other automated scraping, harvesting, extraction, model-training collection, competitive replication, bulk copying, or dataset creation may be restricted where it materially burdens systems, circumvents controls, infringes rights, unlawfully collects personal information, or is undertaken for an unauthorized commercial purpose.
We reserve the right to block automated traffic or enforce technical restrictions.
25. Intellectual Property
Unless otherwise stated, public website materials and associated intellectual property are owned by or licensed to Koshar and Harris LLC, Tech Sol Outsourcing, or the applicable licensor. This may include text, branding, logos, design, software, interfaces, layouts, code, documentation, graphics, icons, photographs, videos, service structures, and other materials.
Access to the website does not transfer ownership.
26. Limited Website License
Subject to these Terms, users receive a limited, revocable, non-exclusive, non-transferable right to access public website materials for lawful informational and business purposes. This does not include a right to resell, sublicense, commercially reproduce, systematically copy, or create unauthorized derivative works from protected materials.
27. Client Deliverables and Project Intellectual Property
Ownership and licensing of client deliverables are governed by the applicable proposal, Statement of Work, Master Services Agreement, licensing terms, or other written agreement. These Website Terms do not automatically transfer project intellectual property.
28. Pre-Existing Materials, Tools, and Know-How
Unless a written agreement expressly provides otherwise, Koshar and Harris LLC retains ownership of its pre-existing and generally reusable methodologies, frameworks, templates, know-how, internal tools, libraries, processes, techniques, workflows, utilities, background technology, and improvements that are not uniquely created as client-owned deliverables.
29. Feedback
If you voluntarily provide general feedback or suggestions about our website or services without a separate confidentiality obligation, we may use that feedback to improve our operations without an obligation to compensate you. This does not transfer ownership of confidential client materials or client-owned intellectual property.
30. Confidential Information
Ordinary public website forms should not be treated as secure repositories for highly sensitive confidential information unless expressly designated. Formal confidentiality obligations may be governed by NDAs, service agreements, employment agreements, contractor agreements, or applicable law.
31. Privacy and Cookies
Personal information is governed by the separate Tech Sol Outsourcing Privacy Policy. Cookies and similar storage/access technologies are governed by the separate Tech Sol Outsourcing Cookie Policy. Those policies are incorporated by reference for their respective subject matter.
32. SMS and Mobile Privacy
Any SMS/MMS program is subject to the separate Privacy Policy and applicable consent disclosures. Mobile phone numbers, SMS/MMS opt-in data, and messaging consent will not be sold or shared with third parties or affiliates for their independent marketing, promotional, advertising, or lead-generation purposes.
33. No Legal, Tax, Financial, Medical, or Other Regulated Professional Advice
Unless an engagement expressly provides for services by appropriately qualified professionals, website content and ordinary business communications do not constitute legal, tax, investment, financial, medical, insurance, or other regulated professional advice.
34. No Guarantee of Business Results
Unless a binding written agreement expressly states otherwise, we do not guarantee specific profit, revenue, traffic, rankings, leads, conversion rates, sales, savings, uptime, financing, regulatory approvals, customer retention, hiring outcomes, campaign performance, or market success.
Case studies, examples, estimates, projections, or past results do not guarantee future outcomes.
35. Website Disclaimer
To the fullest extent permitted by applicable law, the public website and general informational materials are provided on an “as is” and “as available” basis. We do not warrant that website content will at all times be complete, current, uninterrupted, error-free, secure, or suitable for every purpose.
Mandatory warranties that applicable law does not permit us to exclude remain unaffected.
36. Limitation of Liability for Public Website Use
To the fullest extent permitted by law, Koshar and Harris LLC, Tech Sol Outsourcing, and their directors, officers, employees, contractors, and authorized representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising solely from public website use or inability to use the website, including loss of anticipated profit, opportunity, goodwill, business, or data, except where such exclusion is prohibited by applicable law.
37. Service-Related Liability
Liability arising from a paid client engagement is governed primarily by the applicable written service agreement. Nothing on the public website expands a negotiated liability cap, warranty, remedy, indemnity, service level, or other risk allocation contained in that agreement.
38. Exclusions That Cannot Lawfully Be Made
Nothing in these Terms excludes or limits liability, rights, warranties, remedies, or obligations that applicable law prohibits the parties from excluding or limiting. Any invalid exclusion should be interpreted as narrowly as necessary while preserving the remaining protections to the maximum extent permitted.
39. Indemnification for Misuse and Client Instructions
To the fullest extent permitted by applicable law and subject to any controlling written agreement, a user or business client agrees to defend, indemnify, and hold harmless Koshar and Harris LLC, Tech Sol Outsourcing, and their authorized personnel from third-party claims, damages, liabilities, penalties, losses, and reasonable costs arising from that party's unlawful website misuse, infringement, fraudulent submission, unauthorized data, unlawful campaign instructions, violation of another person's rights, or material breach of these Terms.
This provision applies only to the extent lawful and does not impose indemnification obligations that mandatory consumer law prohibits.
40. Force Majeure and Events Outside Reasonable Control
To the extent permitted by law and the applicable agreement, we are not responsible for delay or failure caused by circumstances outside reasonable control, including natural disasters, war, terrorism, civil disorder, government action, major cyberattacks, widespread cloud or network outages, utility failures, telecommunications failures, epidemics, labor disruption, platform outages, or similar events.
41. Suspension, Restriction, and Refusal of Service
We may restrict website access, reject inquiries, suspend services where contractually permitted, or refuse instructions where reasonably necessary to protect security, comply with law, investigate misuse, prevent fraud, address non-payment, protect personnel or clients, or reduce unacceptable legal or operational risk.
42. Sanctions, Export Controls, and Restricted Activities
We will not knowingly provide services where doing so would violate sanctions, export controls, trade restrictions, court orders, or other binding legal prohibitions applicable to us. We may request information, restrict access, suspend work, or decline an engagement where reasonably necessary for such compliance.
43. International Use
The website may be accessible globally. Accessibility from a jurisdiction does not, by itself, mean Koshar and Harris LLC is incorporated, licensed, established, or maintaining an office there, that every service is offered there, or that every law of that jurisdiction applies to the relationship.
44. Business-to-Business Nature and Mandatory Consumer Rights
Many Tech Sol Outsourcing services are provided primarily to businesses, entrepreneurs, professional organizations, commercial operators, agencies, and other organizations. Where a person contracts wholly or mainly for business purposes, consumer protections limited to personal or household transactions may not apply.
Where a person legally qualifies as a consumer and mandatory consumer law applies, nothing in these Terms waives a right that cannot lawfully be waived. Depending on the jurisdiction, this may include mandatory rights under applicable EU consumer law, the UK Consumer Rights Act 2015, U.S. state consumer-protection law, Canadian provincial law, the Australian Consumer Law, UAE consumer law, or comparable legislation.
45. Local-Law Responsibility of Business Clients
Business clients remain responsible for identifying laws that apply specifically to their underlying industry, products, customers, employees, advertising, properties, licensing, finance, healthcare, insurance, telecommunications, transportation, real estate, regulated professions, or other sector-specific activity unless a written engagement expressly includes such compliance work.
46. Conflict With Mandatory Law
If a provision of these Terms conflicts with mandatory law that legally applies and cannot be varied by contract, the mandatory law controls only to the extent of that conflict. The affected clause should be narrowed or severed to the minimum extent necessary, and the remaining Terms remain effective.
47. Governing Law and Forum
Unless a binding client agreement states otherwise and subject to mandatory law, these Website Terms and non-contractual disputes arising from ordinary website use are governed by the laws of the jurisdiction in which Koshar and Harris LLC is legally organized, without regard to conflict-of-law principles that would require application of another jurisdiction's law.
To the fullest extent permitted by law, proceedings relating solely to these Website Terms should be brought before courts of competent jurisdiction serving the registered office or principal legal place of business of Koshar and Harris LLC, unless a controlling agreement specifies arbitration, another forum, or another governing law.
48. Good-Faith Dispute Notice
Before commencing formal proceedings concerning an ordinary commercial website dispute, a party should, where legally permissible and reasonably practicable, provide written notice describing the dispute and allow a reasonable opportunity for good-faith resolution. This does not prevent urgent relief necessary to protect intellectual property, confidential information, cybersecurity, systems, or other rights requiring immediate action.
49. Legal Notices
Formal legal correspondence may be sent to legal@kosharandharris.us. Publication of this address does not itself constitute consent to service of legal process by email where applicable procedural law requires another method, and does not waive objections concerning jurisdiction, venue, service, procedure, or sufficiency of notice.
50. Assignment
Users may not assign rights under these Website Terms where doing so would materially prejudice us without written consent. We may assign or transfer applicable rights in connection with a merger, acquisition, financing, reorganization, restructuring, sale of assets, or similar corporate transaction, subject to mandatory law.
51. No Waiver
Failure to enforce a provision on one occasion does not waive the right to enforce that provision or another right later.
52. Severability
If any provision is invalid or unenforceable, it should be limited or severed to the minimum extent necessary, and the remainder of these Terms will continue in effect.
53. No Third-Party Beneficiaries
Except where mandatory law or a binding written agreement expressly provides otherwise, these Terms do not create enforceable rights for unrelated third parties.
54. Order of Precedence
Unless a signed agreement states otherwise, the following order generally applies for conflicting provisions concerning a paid engagement: (1) an executed amendment expressly modifying another agreement; (2) an executed Master Services Agreement; (3) an accepted Statement of Work or Order Form for the relevant service; (4) a Data Processing Agreement for privacy-processing matters; (5) service-specific written terms; (6) these Website Terms; and (7) general website materials.
The Privacy Policy continues to govern public privacy disclosures, and the Cookie Policy continues to govern website cookies and similar technologies.
55. Changes to These Terms
We may update these Terms as our website, services, technologies, legal obligations, or corporate arrangements change. The Last Updated date identifies the current version. Existing signed agreements remain governed by their own amendment provisions.
56. Entire Website Agreement
These Terms, together with the Privacy Policy and Cookie Policy, form the principal public legal policies governing ordinary use of the website. They do not replace a binding MSA, SOW, DPA, NDA, employment agreement, contractor agreement, invoice terms, or other written contract.
